Representative Residential Homebuilding Matters

Our representation of clients in the homebuilding field has been extensive. We have represented homebuilders and other developers for over 40 years. Representative clients include major home building organizations, lending institutions, title companies, commercial, industrial and residential real estate developers, and investors.  Representative matters the firm has handled include:

  • Represent homebuilders in throughout California in preparation of residential project legal documentation and assist in processing documentation with state agencies for approvals required for marketing such projects.
  • Prepare subdivision documentation for numerous master planned residential developments and residential and commercial condominium projects throughout California. See further information at: Condominium and Planned Developments
  • Negotiate and document purchase of 150 unit residential subdivision from savings institution and assist in compliance with subdivision regulations for project.
  • Negotiate and document real estate joint venture for multiple phase residential development for land owners in Fremont, California.
  • Represent land owner of 40 acre parcel of land in Fremont, California regarding land use and environmental matters with respect to proposed mixed use residential and commercial project.  Structure agreements for sales of property to development companies.
  • Prepare subdivision documentation for master planned residential development in Marin County, California.
  • Seaside Resort Estates (Seaside, Monterey County): Prepared project documentation for a phased golf course oriented residential development.
  • Prepare subdivision documentation for master planned residential development in Petaluma, California consisting of combination of 61 single family detached homes and 138 condominium units.

Representative Clients – Land Use and Development Matters:

We frequently advise our clients and consult with local government agencies regarding the legal structure of development projects, including the nature of subdividing, mapping and otherwise permitting such projects. The firm has handled many land use and development matters before local government agencies. Some samples include: Represented residential land owner in Woodside to obtain variance from the Town’s building height limitations. Represented developer as co-counsel involving a large mixed use residential development in the City of Santa Clara for obtaining planned development permitting approvals for over 2,000 residences. Represented Avalon Bay Communities in negotiations and documentation of document Development Agreement with City of Union City and easement and license agreements for development with Bay Area Rapid Transit District and City for development of 438 unit apartment complex. Representing developer as to a development agreement and other permitting for development of a mixed use adaptive reuse of a shopping center in Milpitas. Represented Apple Computer in obtaining entitlements for the Apple Cupertino Campus including a 7-lot vertical PD subdivision. Represented Bio-Medical Research (BMR) in obtaining approval of subdivision maps and condominium plans for medical office research campus in Fremont (BMR Gateway Technology Center). Represented Don Panoz in obtaining entitlements and preparing master project governing documents for 30,000 acre residential/commercial project with 2 golf courses, 2,500 homes, and various commercial buildings, in Patterson, California. Represented developer of Cupertino Town Center, including retail and office uses with a hotel increment, shared common garage andresidential component. . Represented numerous developers in obtaining subdivision map approvals in scores of cities throughout California. Advised several developers regarding condominium conversion projects throughout California. Leasing and Commercial Real Estate Matters. We represent various commercial landlords and tenants in the negotiation and documentation of commercial leases, subleases and in the purchase and sale of land and buildings. Represented Silicon Graphics for development of corporate campus as a commercial subdivision. Representation of Analog Devices with respect to various leases in Silicon Valley. Represent Millbrae Square Shopping Center in various leasing and financing matters. Represented Accretech USA, Inc. to negotiate and document sublease of commercial space for general office, research, manufacturing, and product development Represented the California Academy of Sciences negotiating and documenting a commercial lease for facilities in San Francisco for interim operations of the Academy during development and construction of the academy’s permanent facilities. Represented the International School of the Peninsula, a private school specializing in bi-lingual education, in leasing matters and in acquiring a site in Palo Alto for construction of a new campus. Represent the San Mateo Credit Union in real estate related matters as to acquisition and disposition of real estate. Structured and negotiated purchase of major golf course resort hotel and residential complex situated in Napa Valley, California and advised regarding various complex land development issues. Represented the purchaser of the Chardonnay Golf Course in Napa, California.   Advised on the structure of the private offering of golf course memberships.

Represented owner of shopping center in litigation regarding application of restrictive covenants and pertaining to anti- SLAPP issues. Represented property owners in actions against a municipality pertaining to application of city rent control measures to properties. Represented property owners in condominium conversion matter challenging municipality’s moratorium on conversions. Represented property owners in breach of contract and fraud action arising from alleged non-disclosures upon sale. Represented property owner in easement dispute.
